Release of an ad hoc announcement pursuant to Art. 72 KR

The Board of Directors has been informed about the intention of its
Managing Director, Mr. Antoine Hubert, to launch a public offer to the
shareholders of the company at a price of CHF 19 per share together with
another investor.
Mr. Hubert has outlined to the Board of Directors that the objective of the
transaction is to provide an exit possibility to shareholders who do not
wish to follow the Genolier Group in its current development and
acquisition policy anymore. It is not a goal of the transaction to delist
GSMN or to modify the operational structure of the Genolier Group. It is
foreseen that the offer will be presented by M.R.S.I. Medical Research,
Services & Investments S.A. (MRSI), a company based in the Canton Valais.
At its meeting on 18 January 2011, the Board of Directors has decided to
provide the necessary information to MRSI in order to prepare documents
required by Swiss regulation regarding public takeovers. Antoine Hubert has
not participated in the deliberations and decision-making process of the
Board of Directors regarding this issue and he will not do so in the
future.
The Board of Directors will prepare and submit a report on the transaction
within the timelines given by Swiss regulation regarding public takeovers.

550 practising physicians and a workforce of 820. The Group is listed on
the Domestic Standard of the SIX Swiss Exchange (GSMN:SW).
